CONSTITUTION

The following Constitution shall guide the conduct of affairs of the OYUN BAPTIST HIGH SCHOOL OLD STUDENTS’ ASSOCIATION

1.0         PREAMBLE
1.1         The OYUNBAPTISTHIGH SCHOOL Old Students’ Association was founded in 1976 and has established branches in many major towns in Nigeria and World wide where its members are resident.
1.2        Oyun Baptist High School Ijagbo shall hereafter refer to in this Constitution as OBHS.
1.3        Oyun Baptist High School Old Students’ Association shall hereafter refer to in this Constitution as “THE ASSOCIATION”.

2.0         NAME
2.1         The name of the association shall be OYUN BAPTIST HIGH SCHOOL OLD STUDENTS’ ASSOCIATION.

3.0         ADDRESS
3.1         The registered address of the Association shall be OyunBaptistHigh School, Ijagbo, P. M. B. 417 Offa, Kwara State, Nigeria.
3.2     National Secretariat of the Association shall remain in OyunBaptistHigh School, Ijagbo, KwaraState, Nigeria.

4.0         AIMS AND OBJECTIVES
4.1         Constantly remind members of their responsibility and loyalty to their Alma Mater.
4.2         Inform members from time to time about the activities and development programme of the school.
4.3         Foster unity understanding and friendly co-operation among all old students of the School irrespective of age, sex, creed, colour, religion or ethnicity.
4.4         Cherish and protect all the traditions of the school which the Association considered worthy of being preserved.
4.5         Serve jointly and severally as a source of inspiration for the students in attendance at the school.
4.6         Serve as a link between the past, the present and the future students of the school.
4.7         Arrange lectures, seminars and symposia on matters of contemporary interest and publish the relative proceedings as may be deemed expedient.
4.8         Raise funds voluntarily and receive donations, gifts, grants and bequest from members and the general public for financing any of the above objectives and most especially to organize such fund-raising activities as may be decided upon by the National Executive Committee.
4.9         Establish a fund for the maintenance and promotion of scholarship at the school and to provide all necessary assistance in improving student welfare in the school.
4.10     Encourage the deepening of the Old School tie with particular regard to contributing to the improvement of standards generally in the school, such as:

  1. Rendering all such assistance as may be required of the Association by the School from time to time.
  2. Initiating and encouraging schemes and projects likely to bring about the healthy growth of our Alma Mater.
  3. Establishing and co-operating with all branches of the Oyun Baptist High School Old Students’ Association
  4. Coordinating the activities of all Branches within the jurisdiction of the Association and ensure peaceful co-existence of the branches and its members.

 

5.0         MEMBERSHIP

5.1.       Membership of the Association shall be open to all persons who were duly registered as students of Oyun Baptist High School Ijagbo.
5.2.       Honorary membership shall be deemed to have been conferred on the Principal of the School during the period of his tenure if he is not an old student of the school.
5.3.       Teaching and or non-teaching staff of the school or other persons may become an associate member of the Association upon recommendation to the Central Executive Committee by the principal and approval of the Annual General Meeting when such person has contributed immensely to the aims and objectives of the Association.
5.4.       Only a member (including Honorary and Associate), who has attended not less than six monthly general meetings in a year at any branch of the Association, paid his Annual Subscriptions up to date and who in these Constitution shall be known as “Financial Member” shall enjoy the rights and privileges of membership.

 

6.0         STRUCTURE OF OBHS OLD STUDENTS’ ASSOCIATION

6.1.       The structure of OBHS Old Students’ Association shall comprise

  1. a.       Annual General Meeting (AGM)
  2. b.      Board of Trustee
  3. c.       Central Executive Committee
  4. d.      National Executive Committee
  5. e.       Branch Executive Committee
  6. f.       Individuals

 

7.0         ANNUAL GENERAL MEETING
7.1         The supreme authority of the Association shall be the Annual General Meeting.
7.2         Annual General Meeting of the Association shall be held in the month of February to coincide with the month of founding the school every year or such month of the year in some unforeseen circumstances making it impracticable to hold the meeting in the month of February at a location to be determined by the Central Executive Committee.
7.3         The General Secretary, Financial Secretary and Treasurer of all branches shall present their annual reports through respective branch President who shall address the meeting on the activities of the Branch in the year just ended.
7.4         The National General Secretary, Financial Secretary and Treasurer shall present their annual reports through the National President who shall address the meeting on the activities of the Branch in the year just ended.

 

8.0         BOARD OF TRUSTEE
8.1         The Board of Trustee shall be a Consultative / Advisory committee which will from time to time exercise control over the Central Executive Committee.
8.2         The Board of Trustee shall comprise of the National President, National General Secretary and Past National Presidents.
8.3         The National President shall be the Chairman Board of trustee while the National General Secretary shall be the Secretary of the Board.
8.4         The Board of Trustee meeting shall only be summon by The National General Secretary at the instruction of The National President as occasion demands but not less than once in six months.
8.5         A Board of Trustee member shall cease to be a member if he or she:

  1. Resigns.
  2. Is permanently incapacitated as a result of ill health.
  3. Becomes insane.
  4. d.      Is convicted of a criminal offence involving fraud or dishonesty by a court of competent jurisdiction.

 

9.0         CENTRAL EXECUTIVE COMMITTEE
9.1     Shall execute the decisions of the AGM and shall manage the affairs of the Association to the best of its judgment and ability between two AGMs.
9.2         Shall appoint Ad-hoc Committees as it deems necessary to deal with specific matters.
9.3         The Central Executive Committee of the Association shall meet as occasion demands but not less then once in every six months.
9.4         An Emergency Central Executive Committee Meeting shall be summoned by the National General Secretary on the directives of the National President or at the written request of four (4) members of the Central Executive Committee.
9.5         Central Executive Committee shall Consist of the following:

  1. All Current National Officers.
  2. All Current Branch Presidents
  3. All Current Branch General Secretaries.
  4. All Current Branch Treasurers.

9.6         A member of the Central Executive Committee shall cease to be a member if he or she:

  1. Is absent from the meeting of the Central Executive Committee for two consecutive times without good reason.
  2. Resigns.
  3. Is permanently incapacitated as a result of ill health.
  4. Becomes insane.
  5. Is convicted of a criminal offence involving fraud or dishonesty by a court of competent jurisdiction.

 

10.0     NATIONAL EXECUTIVE COMMITTEE

10.1     Shall exercise control over and manage the finances of the Association in such manner as it considers prudent.
10.2     Shall maintain a proper register of all branches and members of the Association.
10.3     Shall maintain a National Secretariat in Oyun Baptist High School Ijagbo where all records, documents, minute’s books, cheque and such other records of the Association shall be kept.
10.4     Shall appoint representatives to attend meetings of Branches and other organizations.
10.5     The National Executive Committee shall meet as occasion demands but not less than once in six months.
10.6     An Emergency National Executive Committee Meeting shall be summoned by the National General Secretary on the directive of the National President or at the written request of two (2) members of the National Executive Committee.
10.7     All the National Officers of the Association shall constitute the National Executive Committee.
10.8     A member of the National Executive Committee shall cease to be a member if he or she:

  1. Is absent from the meeting of the National Executive Committee for two consecutive times without good reason.
  2. Resigns.
  3. Is permanently incapacitated as a result of ill health.
  4. Becomes insane.
  5. Is convicted of a criminal offence involving fraud or dishonesty by a court of competent jurisdiction.

 

11.0     NATIONAL OFFICERS

11.1     NATIONAL PRESIDENT

    1. Shall be the Chairman of the Association to preside over all Meetings of the Association.
    2. Shall present the Annual report at the Association Annual General Meeting.
    3. Shall represent the interest of the Association on the board of governors of Oyun Baptist High School Ijagbo.
    4. Shall conduct the affairs of all meetings in accordance with the constitution.

11.2     NATIONAL VICE PRESIDENT

  1. Shall assist the National President and perform all duties of the National President in his absence.
  2. Shall perform any other duties assigned to him / her by the National President.

11.3     NATIONAL GENERAL SECRETARY

  1. Shall summon on instructions of National President all meetings of the Association.
  2. Shall on written request of two third majority of central executive committee summon a meeting of the association if the National President fails to do so as required under this constitution.
  3. Shall record and keep minutes of the meetings.
  4. Shall keep proper record of all awards.
  5. Shall manage the secretariat of the Association.

11.4     NATIONAL ASSISTANT GENERAL SECRETARY

  1. Shall assist the National General Secretary in the performance of all secretarial duties.
  2. Shall, at the request of the National Secretary, or in the absence of the National Secretary act in his place.

11.5     NATIONAL TREASURER

  1. Shall receive and record all moneys collected from the National Financial Secretary.
  2. Shall pay the Association’s moneys to her bankers.
  3. Shall prepare the Annual account of the Association for presentation to the Annual General Meeting after being audited.

11.6     NATIONAL FINANCIAL SECRETARY

  1. Shall receive record and pay to National Treasurer of the Association, all moneys collected for the Association from whatever source.
  2. Shall collate list of all financial members submitted by each branch and wherefrom compile a voter’s list of eligible financial members to be distributed for election purposes at an Annual General Meeting.
  3. Shall pay out and record all expenditure of the Association.
  4. Shall carry out any decision or directive of the Central Executive Committee on all matters relating to the finance or budget of the Association.

11.7     NATIONAL ASSISTANT FINANCIAL SECRETARY

  1. Shall assist the National Financial Secretary in the performance of all financial secretary duties.
  2. b.      Shall, at the request of the National Financial Secretary, or in the absence of the National Financial Secretary act in his place.

11.8     NATIONAL SOCIAL SECRETARY

  1. Shall perform all the duties normally performed by social Secretary.
  2. Shall manage all social activities of the Association and may request of the Central Executive Committee for Ad-hoc committee in order to facilitate the execution of all social activities of the Association.

11.9     NATIONAL PUBLICITY SECRETARY

  1. Shall ensure that all members of the Association are duly informed of the every activities of the Association.
  2. Shall see that due and sufficient publicity is given to all activities of the Association.
  3. Shall issue release on the approval of the Central Executive Committee or the National President in emergency cases and such releases must reflect the views of the Association.

11.10 NATIONAL INTERNAL AUDITOR

  1. Shall be an accountant by profession if available to carry out responsibility on the branches and National Association.
  2. Shall ensure that proper books are kept by the Association and report to the general meeting from time to time.
  3. Shall examine and report on the books of accounts of the Association.
  4. Shall append a summary report of his examination of the books and sign the audited accounts to be presented at the Annual General Meeting.

11.11 NATIONAL LEGAL ADVISER

  1. a.  Shall be a legal practitioner elected from among members of the Association to oversee legal affairs of the Association including branches.

 

12.0     BRANCH EXECUTIVE COMMITTEE

11.1   The Branch Executive Committee shall be responsible for the day to day running of the Branch and shall take all such steps as it shall deem fit to put into effect the decisions of the Branch General Meeting.

11.2   The Executive Committee of the Branch shall meet as occasion demands but not less than once in three months.

11.3   An Emergency Branch Executive Committee Meeting shall be summoned by the Branch General Secretary on the directive of the Branch President or at the written request of three (3) members of the Branch Executive Committee.

11.4  All the Officers of the Branch shall constitute the Branch Executive Committee.

11.5  A member of the Branch Executive Committee shall cease to be a member if he or she:

  1. Is absent from the meeting of the Branch Executive Committee for two consecutive times without good reason.
  2. Resigns.
  3. Is permanently incapacitated as a result of ill health.
  4. Becomes insane.
  5. Is convicted of a criminal offence involving fraud or dishonesty by a court of competent jurisdiction.

 

13.0     BRANCH OFFICERS

12.1     PRESIDENTHe shall preside at all meetings of the Branch. He shall also control the general administration of the Branch.

12.2     VICE PRESIDENT – He shall deputies for the President in all cases of absence or in matters delegated to him by the President.

12.3     GENERAL SECRETARY – He shall deal with all correspondence and administrative matters. He shall summon meetings either as previously arranged or at the direction of the President or at the written request of not less than eight (8) Financial members of the branch that at least four (4) shall be non-members of the Executive.

12.4     ASSISTANT GENERAL SECRETARY – He shall perform the duties of the General Secretary when the General Secretary is not available or in matters that may be delegated to him by the General Secretary.

12.5     TREASURER – He shall keep an account of the moneys of the Branch, collect money from the Financial Secretary and place such moneys in an approved Bank within three working days of receipts; he shall keep an impress account not exceeding N10,000. Satisfactory receipts and or vouchers shall support disbursements.

12.6     FINANCIAL SECRETARY – He shall collect dues/levies from members and hand it over to the Treasurer within three days of receipt.

12.7     ASSISTANT FINANCIAL SECRETARY – He shall perform the duties of the Financial Secretary when the Financial Secretary is not available or in matters that may be delegated to him by the Financial Secretary.

12.8     PUBLICITY SECRETARY – He shall be responsible for publicising the activities of the Branch. He shall be responsible for all literary, educational and social activities of the Branch.

12.9     SOCIAL SECRETARY – He shall perform the work of a Social Secretary. In particular he shall manage all the social activities of the Branch.

12.10  TWO WELFARE OFFICERS – They shall make contacts with members from time to time to find out about their welfare.

 

14.0     INDIVIDUAL

13.1   All OBHS Ijagbo old students who are not affiliated to any branch shall be free to attend the Annual General Meeting or the meeting of the branch nearest to them.

 

15.0     BRANCHES

14.1     Branches shall be formed in any town or place by any group of old students.

14.2     No new branch shall be formed in a town or place where there is a functioning branch.

14.3     Branches shall co-ordinate the activities of all individuals within their jurisdiction and report same to the national secretariat from time to time.

14.4     As soon as possible after formation of a branch the Branch General Secretary shall register the branch with and forward the names of the officers to the National Secretariat.

14.5     A branch may have its own bylaw to guide its activities; a copy of such shall be registered with the National Secretariat.

14.6     If any of the branch rules contradict in fact or spirit any clause or clauses of the National Constitution, the latter, that is the National Constitution shall be upheld against such rule if any and when necessary.

 

16.0     BRANCH GENERAL MEETING

15.1     The Branch in General Meeting shall meet at least once in every three month and may from time to time vary the day of such meeting as the occasion may demand.

15.2     An Emergency Branch General Meeting shall be summoned by the Branch General Secretary at the direction of the Branch President or at the written request of not less than eight (8) Financial members of the branch that at least four (4) shall be non-members of the Branch Executive.

15.3     All members shall be entitled to attend.

 

17.0     NOTICE OF MEETINGS

16.1     The Branch General Secretary shall give not less than Seven Days’ Notice of Branch General Meeting except in the case of emergency ranging between 24 and 48hours as the occasion may demand.

16.2     The Branch General Secretary shall give not less than Three Days’ Notice of Executive Committee Meetings except in the case of emergency ranging between 24 and 48hours as the occasion may demand.

16.3     The National General Secretary shall give not less than One Month Notice of all National and Central Executive Committee Meetings except in the case of emergency ranging between 24 and 48hours as the occasion may demand.

16.4     The National General Secretary shall give not less than Three Months Notice of all Annual General Meeting.

 

18.0     QUORUM AT MEETINGS

17.1     The Quorum for a General Meeting shall be ten (10) members.

17.2     The Quorum for a Branch Executive Committee Meeting shall be five (5).

17.3     The Quorum for a National Executive Committee Meeting shall be five (5).

17.4     The Quorum for a Central Executive Committee Meeting shall be ten (10) with at least two (2) branches duly represented.

17.5     The Quorum for a Board of Trustee Meeting shall be all members

 

19.0     ELECTION OF OFFICERS

18.1     Any member interested in any Branch Officers’ position shall show such interest by purchasing election form for the position from the Branch Secretariat of the Association, fill in all necessary information and get it duly certified by three financial members of his or her Branch.

18.2     Any member interested in any National Officers’ position shall show such interest by purchasing election form for the position from the National Secretariat of the Association, fill in all necessary information and get it duly certified by three financial members of his or her Branch.

18.3     All duly completed forms must be submitted not later than 30 calendar days before the election date as fixed by the Central Executive Committee to the National General Secretary for National Officer’s election.

18.4     All duly completed forms must be submitted not later than 30 calendar days before the election date as fixed by the Branch and or Central Executive Committee to the Branch General Secretary for Branch Officer’s election.

18.5     Three members committee who shall be eligible to vote but not be voted for shall be constituted by the meeting of the election in all cases to be responsible for the conduct of the elections at the meeting only.

18.6     All Election Committee Members shall be by simple majority of all financial members of the meeting.

18.7     First successfully nominated Election Committee Member shall Chair the Committee activities.

18.8     The Election committee shall collate all forms and announce the candidates as appropriate for respective elective positions.

18.9     Any elective position that does not have more than one duly submitted form shall be declared won by the only candidate who has the duly submitted form.

18.10 All Officers Elections shall be by secret ballot.

18.11 Only Financial Members shall be eligible to vote and be voted for.

18.12 The list of members who shall be eligible to vote and be voted for shall be displayed at the venue of the election and on the association’s website not later than two calendar months in advance of the election.

18.13 A decision in all cases of voting shall be carried by a simple majority of financial members present and voting at such meeting(s).

18.14 In case of an equality of votes the voting for the particular office shall be repeated until a clear winner emerges.

18.15 Election Committee shall collate result of election and announce same immediately.

18.16 All Branch officers shall be elected at the Branch General Meeting.

18.17 All National officers shall be elected at the Annual General Meeting.

18.18 All Branch officers shall be elected for two years in the first instance and may be re-elected for another term of two years.

18.19 All National officers shall be elected for four years in the first instance and may be re-elected for another term of four years.

18.20 All newly elected officers shall take oath of office as attached to the constitution (schedule 1).

 

20.0     FILLING OF VACANCIES

19.1     The Branch Executive Committee shall have power to appoint members to fill any vacancy occurring within its Committee subject to the approval of a subsequent General Meeting.

19.2     The Central Executive Committee shall have power to appoint members to fill any vacancy occurring within National Executive Committee subject to the approval of a subsequent Annual General Meeting.

 

21.0     SUBSCRIPTION AND LEVY

20.1     The Branch General Meeting from time to time on the recommendation of the Executive Committee shall determine the Annual Subscription.

20.2     Each member may be called upon to pay a special levy in aid of approved projects.

20.3     Donations may be received from public through organized activities decided upon by the Central Executive Committee.

20.4     Twenty Five percent (25%) of the revenues of all the branches of the Association shall be paid to the National Association through the National Financial Secretary.

20.5     All special levies, donations and other than Annual subscription shall be received on behalf of the National Executive Committee and such must be deposited in the National Association’s account as initiated by Central Executive Committee.

22.0     FINANCE AND ACCOUNT

21.1     The Funds of the National Association shall be deposited in the name of the Association in a Bank approved by the Annual General Meeting. The National President shall operate the account jointly with the National Treasurer and the National General Secretary of the Association.

21.2     The Funds of the Branch shall be deposited in the name of the Branch in a Bank approved by the Branch General Meeting. The Branch President shall operate the account jointly with the Branch Treasurer and the Branch General Secretary.

21.3     All cheques of the National Association’s account shall be signed by any two of the National President, National General Secretary and National Treasurer.

21.4     All cheques of the Association Branch’s account shall be signed by any two of the Branch President, Branch General Secretary and Branch Treasurer.

21.5     No expenditure of any money shall be incurred for any purpose unless such expenditure has been approved generally or specifically by the respective Executive Committee.

21.6     An annual report of all Branch and National finance and account including statement of bank accounts shall be submitted through the respective Branch and the National President to the Central Executive Committee not later than one month before the Annual General Meeting.

21.7     The Association at AGM may appoint an external Auditor to carry out Audit of all records including finance and account of any branch or national Association.

 

23.0     ADOPTION AND AMENDMENT OF THE CONSTITUTION

22.1     By accepting to be a member of the Association, a person automatically accepted the composition of the contents of this constitution.

22.2     This Constitution may be amended by a resolution passed by at least two-third majority of Financial Members present and voting at the Annual General Meeting and such amendment shall become operative immediately.

22.3     Voting shall be by show of hands each voting member present having only one vote and the presiding member shall have a casting vote in the event of a tie.

22.4     At least Sixty Days’ Notice of a proposed amendment shall be given in writing to the National General Secretary who shall give at least Thirty Days’ Notice before the Annual General Meeting and thereof incorporate such proposed amendment in the notice of the Annual General Meeting.

 

24.0     INTERPRETATION

23.1     The Central Executive Committee shall interpret this Constitution.

 

25.0     ENACTMENT

24.1     This Constitution of OYUN BAPTIST HIGH SCHOOL OLD STUDENT’S ASSOCIATION is hereby enacted this 26th Day of September 2009.

I, _________________________________________________________ this ________day of _____________ 20____ having been duly elected to the post of  ________________________________________________ of OBHS Old Students’ Association do solemnly swear that I will be faithful and bear true allegiance to the OBHS Old Students’ Association, that I will discharge my duties to the best of my ability, honestly, faithfully and in accordance with the constitution of the OBHS Old Students’ Association, that I will strive to preserve the objectives contained in the constitution of the Association and as may be amended from time to time, that I will not allow my personal interest to influence my official conduct and decisions, that in all circumstances, I will abide by all laid down Constitution imposed for the uplift of the Association, that I will do right to all manner of people without fear or favour, affection or ill-will and that I will devote my self to the service and well-being of OBHS Old Student Association.
